Further to our letter dated March 18, 2025 and pursuant to Order of the Hon'ble NCLT and provisions of Regulation 30 read with Para A of Part A of Schedule III of SEBI Listing Regulations, attached herewith is the Notice (including e-Voting instructions) convening Meeting of Equity Shareholders of the Company scheduled to be held on Tuesday, May 13, 2025 at 3.00 p.m. IST through Video Conferencing to consider, and if thought fit, approve the Scheme of Arrangement and Amalgamation between Sonmil Industries Private Limited, The Dukes Retreat Private Limited and Chalet Hotels Limited and their respective Shareholders and Creditors pursuant to applicable provisions of Companies Act and Rules thereunder, in line with relevant circulars issued by MCA and SEBI.
